EQT’s $13 Billion Range Resources Deal Reshapes the U.S. Natural Gas Market
The U.S. natural gas industry is entering another period of significant growth and consolidation, and EQT Corporation’s planned acquisition of Range Resources is a clear example of that shift.
EQT has agreed to acquire Range Resources in an all-stock transaction valued at approximately $13 billion. Including debt, the combined company will have an enterprise value of more than $50 billion, creating what is expected to be the largest natural gas producer in the United States.
The deal brings together two major producers with operations concentrated in the Appalachian Basin. For EQT, the acquisition is about more than increasing production. It expands the company’s resource base, strengthens its infrastructure position, and gives it greater scale to supply natural gas to utilities, LNG exporters, power generators, and industrial customers.
Why EQT Is Expanding Its Natural Gas Position
Natural gas demand in the United States continues to receive support from several major sources.
LNG exports are increasing the amount of U.S. natural gas moving into global markets, while electricity demand is also rising. One of the newer sources of demand is the rapid expansion of artificial intelligence and data centers, which require significant amounts of reliable electricity.
The U.S. Energy Information Administration expects domestic natural gas consumption to increase from approximately 91.9 billion cubic feet per day in 2025 to 94.3 billion cubic feet per day by 2027.
EQT CEO Toby Rice also indicated that the company now sees potential Appalachian natural gas demand reaching approximately 25 billion cubic feet per day, up from its previous estimate of 20 billion cubic feet per day.
That growing demand creates an important opportunity for producers that have access to large, long-life natural gas resources and the infrastructure needed to move that gas to customers.
A Larger Resource Base and More Infrastructure
The combined EQT and Range Resources operation will have significant scale.
The company is expected to have:
- More than 9 billion cubic feet equivalent per day of net production
- Nearly 3 million net acres of resources
- More than 30 years of drilling inventory
- More than 3,700 miles of midstream infrastructure
- More than $50 billion in combined enterprise value, including debt
That scale can provide the combined company with greater flexibility as natural gas markets change.
Range shareholders are expected to receive 0.987 shares of EQT for each Range share they own. Based on the terms announced, the transaction values Range at approximately $12.83 billion, representing a premium over the company’s previous closing price.
EQT shareholders are expected to own approximately 73% of the combined company, while Range shareholders will own the remaining 27%. The transaction is expected to close during the first quarter of 2027, subject to customary closing conditions.
The Bigger Picture for U.S. Natural Gas
This transaction reflects a broader trend in the U.S. energy industry: producers are looking for ways to build scale while positioning themselves for long-term demand growth.
Natural gas is increasingly important to the U.S. power sector because it can provide reliable electricity generation alongside renewable energy sources. At the same time, LNG exports connect American natural gas producers with customers around the world.
The growth of data centers adds another layer to the demand picture. As companies invest heavily in artificial intelligence and digital infrastructure, electricity requirements are increasing, creating additional demand for the dependable generation and, in turn, natural gas.
For producers in major gas-producing regions such as Appalachia, having both resource depth and access to transportation infrastructure can become increasingly valuable.
What This Means for Direct Participation Investors
For direct participation investors and prospective investors in the oil and natural gas industry, the EQT–Range Resources transaction provides an example of how broader industry trends can influence individual oil and gas opportunities.
The deal highlights the value of quality acreage, long-term drilling inventory, production potential, and infrastructure access. These factors can play an important role in determining how efficiently an oil or natural gas asset can be developed and brought to market.
It also demonstrates why investors should look beyond current production numbers when evaluating an oil and gas opportunity. The size and quality of the underlying resource, expected demand, access to markets, operating costs, and available infrastructure can all affect the potential economics of a project.
For investors considering direct participation opportunities, understanding the larger energy market can provide useful context when evaluating potential projects. Rising natural gas demand, LNG exports, power generation requirements, and infrastructure development are all factors that can influence the environment in which oil and gas investments operate.
Of course, every direct participation investment carries risks, and individual opportunities should be evaluated based on their specific geological, financial, operational, and market characteristics.
